To do list:
1. Collect background information from various
treatises, etc. on computer software licensing at
local business and law libraries. This should include
material about copyright and patent protection for
computer programs and information and issues on
licensing computer software to others.
2. Check databases for similar transactions to the one
proposed in this case study.
3. Inquire about liability in the sales of software
i.e. Uniform Commercial Codes, tort law, etc.
Summary of negotiation outcome (include objective,
dynamics, results):
Objective: get the best possible royalty fee for our
software with the least possible support required.
Dynamics: The VP was difficult until he saw where
personnel was headed. A summary of our proposal showed
him we had considered the liability and revenue issues
in a thorough manner. The legal counsel kept quiet,
but asked some good questions, at one point offering
to do some legal research. She seems quite supportive.
Bottom line is that both VP and counsel want all loose
ends dealth with before making a final move, and we
were prepared for their attitude, by asking around
about them before the meeting.
